James David & Company & Lightpost Terms and Conditions

1. Introduction
Welcome to James David & Company ("JD&CO," "we," "us," "our"). JD&CO provides a variety of online services, including online education, AI and automation courses, templates and tools, community access, websites, and managed marketing/ad services. Our offerings include, but are not limited to, "Lightpost," "Lightmail," and "Lightreel," all part of a set of tools and services referred to as “The Light Spectrum”, along with other services. The following Terms and Conditions ("Terms") apply to all JD&CO products and services, including Lightpost and any future offerings under JD&CO, and specific terms apply to specific services where specified. By using our services, you agree to these Terms.
2. What We Offer
For Lightpost, we offer two service options:
1. Monthly Subscription
- Cost: $499 per month (subject to change)
- Setup Fee: $2,499 (one-time payment, subject to change)
- Commitment: No long-term commitment. Cancel anytime.
- Includes: Managed content automation, posting, and system integrations for your website and social media accounts.
- What You Get: Access to the front-end tools that allow you to create and publish content.
- What You Do Not Get: Direct access to the backend software and automation systems we manage.
2. Lifetime Purchase
- Cost: $4,500 (one-time payment, subject to change)
- Includes: A fully installed version of Lightpost that you can use indefinitely.
- What You Can Do: Offer Lightpost as a service to your own clients.
- What You Cannot Do: Resell or redistribute Lightpost as your own flagship product.
- Setup: You must set up and manage the system on your own, following the provided instructions.
- Support: Includes two months of support to help you get started.
3. How It Works
- JD&CO services run on third-party platforms like Airtable, Make, and SpyFu.
- You do not get backend access—we handle all backend management and automation.
- Your website and social accounts are integrated and managed by us as part of your subscription or setup.
- For Lifetime Purchases, you are responsible for maintaining your own system after setup.
4. Third-Party Compliance
- Airtable, Make, and SpyFu Compliance:
- We do not resell or transfer third-party software.
- Clients must have their own accounts for any required services.
- We invite you as a guest to relevant platforms when needed.
- JD&CO follows all fair-use and access policies for third-party tools.
5. Payment and Refund Policy
- Billing:
- All payments are processed securely through Stripe or another payment provider.
- The Monthly Subscription is billed automatically each month.
- The Lifetime Purchase is one-time only with no further payments required.
- Refunds:
- Subscription: Refunds are only available if we are unable to connect the service to your website or accounts.
- Lifetime Purchase: No refunds once setup has been completed.
6. Your Responsibilities
- You must provide accurate information for setup and integration.
- For Monthly Subscription users, we manage third-party platform connections and associated costs, but you must authenticate and maintain your own business-related integrations (e.g., your website, social media accounts, and proprietary tools).
- Some integrations may require an additional fee, either charged by us or the third-party platform itself.
- You are responsible for maintaining your own third-party accounts where required.
- You must comply with all third-party platform terms of service.
- You cannot resell, distribute, or modify JD&CO services beyond your own internal use.
- Prices, features, and service availability are subject to change. Any updates will be communicated in a reasonable timeframe.
- JD&CO services are managed offerings, not static products, meaning improvements, updates, and adjustments will be made periodically to enhance performance and compliance.
- If you cancel your subscription, we do not guarantee the migration of your workflows unless requested and arranged separately.
7. AI-Generated Content & Liability Waiver
- JD&CO services use AI-assisted tools to generate content based on industry best practices and SEO strategies.
- You are fully responsible for reviewing, editing, and approving all content before publishing.
- JD&CO is not liable for any content, blogs, social posts, images, videos, or any results (or lack of results) derived from AI-generated content.
- We do not guarantee compliance with copyright laws, industry regulations, or platform policies for content created using our system.
8. Force Majeure & Service Disruptions
- JD&CO relies on third-party platforms (Airtable, Make, SpyFu, etc.) for automation services.
- We are not responsible for downtime, API changes, or limitations imposed by these providers.
- If a third-party service goes down or changes its policies, we will make reasonable efforts to adjust workflows, but no refunds will be issued for service disruptions outside our control.
9. Non-Compete & Repackaging Prevention
- You may use JD&CO services to provide marketing services to your clients.
- You may not rebrand, modify, or resell JD&CO services (or a similar system) as a standalone product.
- Any attempt to do so will result in termination of access without refund.
10. Pricing & Service Adjustments
- Pricing, features, and service structures may change based on third-party costs, platform upgrades, or market conditions.
- We reserve the right to modify pricing or adjust service offerings with reasonable notice.
11. Data Ownership & Backup Responsibility
- You are responsible for maintaining your own backups of all data within JD&CO services.
- We do not guarantee data recovery in the event of accidental deletion, account changes, or third-party service failures.
- JD&CO is not liable for any lost content, workflow disruptions, or platform data issues.
12. Legal and Liability
- Ownership:
- JD&CO services remain the property of James David & Company.
- You are purchasing access to the service, not ownership of the underlying technology.
- Limited Liability:
- We do not guarantee uninterrupted service.
- We are not responsible for any loss of business, revenue, or data related to your use of JD&CO services.
- Our total liability is limited to the amount you have paid in the last three months.
13. Changes to These Terms
- We may update these Terms at any time. Changes will be posted on our website and take effect immediately.
- By continuing to use JD&CO services, you accept any updated Terms.
